1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Arksedan Services LLC ("TraderDaddy Pro," "we," "us," or "our") concerning your access to and use of the TraderDaddy Pro platform (the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

3. Eligibility

To use the Service, you must:

• Have the legal capacity to enter into binding contracts
• Comply with all applicable laws and regulations
• Not be prohibited from using the Service under US law

5. Subscription and Payment Terms

5.1 Subscription Tiers

TraderDaddy Pro offers multiple subscription tiers with varying features and pricing. Subscription details and pricing are available in your account settings.

5.2 Payment Processing

Payments are processed securely through Stripe, a third-party payment processor. By subscribing, you authorize us to charge your payment method on a recurring basis according to your selected billing cycle.

5.3 Billing and Renewal

• Subscriptions automatically renew at the end of each billing cycle
• You will be charged the then-current subscription price unless you cancel
• Subscription fees are billed in advance for each billing cycle
• Price changes will be communicated at least 30 days in advance

5.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing cycle. You will continue to have access to the Service until the end of the paid period.

5.5 No Refunds Policy

ALL SALES ARE FINAL. WE DO NOT OFFER REFUNDS FOR ANY SUBSCRIPTION PURCHASES.

Once you purchase a subscription, you will not be entitled to a refund for:

• Unused subscription time
• Dissatisfaction with the Service
• Changes to subscription features or pricing
• Account suspension or termination due to Terms violation

Please carefully review the features and pricing before subscribing. We encourage you to use any free tier or trial period (if available) to evaluate the Service before purchasing a paid subscription.

6. Acceptable Use Policy

You agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems (bots, scrapers) to access the Service without permission
• Interfere with or disrupt the Service or servers/networks
• Transmit malware, viruses, or harmful code
• Impersonate any person or entity or misrepresent your affiliation
• Harass, abuse, or harm other users

Violation of this policy may result in immediate suspension or termination of your account without refund.

The Service and its original content, features, and functionality are owned by Arksedan Services LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms.

TraderDaddy Pro, our logos, and related marks are trademarks of Arksedan Services LLC. You may not use our trademarks without our prior written consent.

8. Data Accuracy and Availability

While we strive to provide accurate and timely information:

• Market data may be delayed or contain errors
• Third-party data providers may experience outages or delays
• We do not guarantee the accuracy, completeness, or timeliness of any data
• Service availability is not guaranteed and may be interrupted
• We reserve the right to modify, suspend, or discontinue any feature at any time

9. Third-Party Services and Links

The Service integrates with and may contain links to third-party services, including:

• Google (OAuth authentication)
• Stripe (payment processing)
• Tradier (market data provider)
• Other third-party services and websites

We are not responsible for the content, privacy policies, or practices of third-party services. Your use of third-party services is governed by their respective terms and policies.

We do not endorse or make any representations about third-party services. Any reliance on third-party services is at your own risk.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF DATA
• WARRANTIES THAT DEFECTS WILL BE CORRECTED OR THAT THE SERVICE IS FREE OF VIRUSES OR HARMFUL COMPONENTS

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ARKSEDAN SERVICES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR USE.

This includes, but is not limited to:

• Trading losses or investment losses of any kind
• Loss of profits, revenue, business opportunities, or goodwill
• Data loss or corruption, even if we were advised of the possibility
• Service interruptions, errors, or delays
• Third-party actions or failures
• Any other damages arising from your use of or inability to use the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless Arksedan Services LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your trading or investment decisions
• Any content you submit or share through the Service

13. Dispute Resolution and Governing Law

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida and the United States, without regard to conflict of law principles.

13.2 Dispute Resolution

Any dispute arising from these Terms or your use of the Service shall be resolved through:

1. Informal Negotiation: Contact us at traderdaddypro@gmail.com to attempt resolution
2. Binding Arbitration: If informal negotiation fails, disputes will be resolved through binding arbitration in Miami-Dade County, Florida, under the rules of the American Arbitration Association

13.3 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US AND YOU INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

13.4 Jurisdiction and Venue

If arbitration is not applicable, you agree that any legal action shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida.

14. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of subscription fees
• Any reason at our sole discretion

Upon termination, your right to use the Service will immediately cease. No refunds will be provided for terminated accounts.

Sections of these Terms that by their nature should survive termination will survive, including but not limited to: ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. Severability and Waiver

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Arksedan Services LLC regarding the Service and supersede all prior agreements and understandings.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:

• Posting the updated Terms with a new "Last Updated" date
• Sending an email notification to your registered email
• Displaying a prominent notice on the Service (for significant changes)

Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.
